Clearenta Affiliate Program Agreement

Version: affiliate-agreement-draft-2026-10-11-v2

DRAFT — PENDING LEGAL REVIEW Clearenta Affiliate Program Agreement Version: affiliate-agreement-draft-2026-10-11-v2 Draft date: October 11, 2026 This draft agreement is between Exclusive Service Calls, LLC, operating Clearenta (Clearenta), and the person or entity accepted into the Clearenta Affiliate Program (Affiliate). It is not effective and must not be used for live recruitment until approved by Clearenta and legal counsel. 1. Application and acceptance Participation requires a complete application, Clearenta's written or in-platform approval, acceptance of the current agreement and advertising policy, and continued compliance. Submission does not guarantee acceptance. Clearenta may approve, reject, suspend, or terminate participation based on program, compliance, fraud, quality, or business considerations. 2. Independent contractor Affiliate acts as an independent contractor. Nothing creates employment, agency, partnership, franchise, fiduciary, or joint-venture status. Affiliate cannot bind Clearenta, CuraDebt, or another provider or make representations on their behalf. 3. Authorized promotion Affiliate may use only traffic sources, campaigns, links, brands, claims, landing pages, and creatives Clearenta has approved. Approval for one channel or creative does not approve another. Paid advertisements, landing pages, and materially revised creatives require advance approval. 4. Tracking and attribution Approved affiliates receive campaign-specific Clearenta tracking links. Affiliate must preserve the link and permitted parameters and must not place consumer personal information in a tracking URL. Clearenta's records govern attribution absent demonstrated error. Tracking availability does not guarantee credit for a conversion. 5. Qualified and payable conversions A questionnaire completion, telephone verification, lead creation, or redirect is not a payable conversion. A conversion becomes payable only when the applicable independent provider authenticates and confirms the required event, Clearenta validates attribution and eligibility, and the event is not rejected, duplicated, fraudulent, reversed, or otherwise unpayable under the applicable offer terms. 6. Compensation and offer terms Compensation is partner-dependent and governed by the active offer-specific terms displayed to Affiliate. Rates may differ by offer and may change prospectively. No offer, rate, volume, acceptance, or earnings level is guaranteed. A DRAFT, paused, disabled, expired, or unavailable offer may not be promoted. 7. Earned and available commissions An earned commission is an accounting entry associated with an eligible confirmed payable conversion. Earned does not mean available for payment. Availability requires Clearenta to receive and allocate the corresponding partner cash and complete reconciliation. Reversals, deficits, reservations, and approved adjustments may affect balances as reflected in the immutable ledger. 8. Payment thresholds, taxes, and PayPal fees Clearenta reviews normal affiliate payouts weekly. An Affiliate must have at least $100.00 USD in available, unpaid commissions to qualify for a normal payout. PayPal is the approved payment method. Affiliate must maintain accurate PayPal payment information. Every payout remains subject to manual review, approval, and execution; there are no automatic transfers or affiliate-initiated withdrawals. The weekly cycle does not promise a particular weekday or fixed payment deadline, and Clearenta will not pay commissions before corresponding partner cash has been received, allocated, reconciled, and released. Affiliate is responsible for applicable PayPal payout fees. The earned commission and gross payout are not reduced in Clearenta's commission ledger. The actual fee and actual net proceeds are recorded only after the payment is known. PayPal may deduct a fee directly from Affiliate's proceeds; alternatively, where Clearenta withholds an actual PayPal fee from the transfer, the payout record will distinguish that treatment. Clearenta does not promise a specific net amount before the actual fee is known. Before a payout may be approved, Clearenta must verify the tax documentation applicable to Affiliate's classification, or document after appropriate legal or tax review that no documentation is required. Applying to the program does not require prior tax-document verification. Sensitive tax forms and tax identification numbers must be collected and stored through an approved secure external system, not ordinary application records or audit metadata. Clearenta may hold payment while investigating fraud, invalid traffic, disputes, reversals, recovery deficits, payment-information errors, missing or revoked tax-document verification, or compliance concerns. 9. Invalid traffic, fraud, and duplicates No commission is owed for bots, fabricated information, self-generated or incentivized submissions unless expressly approved, duplicate or recycled referrals, unauthorized traffic, manipulation, unlawful activity, or events rejected by the provider or Clearenta's controls. Clearenta may investigate, withhold availability, suspend campaigns, or suspend Affiliate while reviewing questionable activity. 10. Reversals, chargebacks, and corrections Provider reversals, duplicate corrections, fraud findings, and accounting errors may produce immutable reversal or correction entries. If amounts were already paid, Clearenta may record a recovery deficit and apply lawful, documented recovery procedures. Financial history will not be silently rewritten. 11. Affiliate representations Affiliate represents that its application and traffic information are accurate; it has authority to enter the agreement; its sites, advertisements, and data practices comply with applicable law and platform rules; it has all required rights and permissions; and it will not transmit personal information to Clearenta except through approved consumer-facing flows. 12. Advertising and regulatory compliance Affiliate must follow the current Publisher Advertising Policy, applicable FTC endorsement and advertising rules, debt-relief advertising requirements, privacy and consent laws, telemarketing rules, and channel policies. Affiliate must clearly disclose material affiliate relationships and must not promise savings, debt elimination, approval, qualification, or any outcome. 13. Consumer information and confidentiality Affiliate receives aggregate and account-scoped reporting, not consumer contact details. Affiliate must protect Clearenta confidential information, credentials, nonpublic offer terms, and reports; restrict access to authorized personnel; notify Clearenta of suspected compromise; and never attempt to identify consumers from aggregate data. 14. Intellectual property and brand use Clearenta grants no ownership rights. Approved brand assets may be used only as authorized, without alteration or implied endorsement. Affiliate may not register confusing domains or accounts, bid on restricted marks, use third-party logos without permission, or misrepresent itself as Clearenta, CuraDebt, a government entity, or a provider. 15. Suspension and termination Clearenta may disable campaigns, revoke access, suspend, or terminate Affiliate for compliance, fraud, quality, security, legal, provider, or business reasons. Suspension revokes active sessions and disables campaigns while preserving audit and financial history. Termination does not erase valid obligations, reversals, confidentiality duties, audit rights, or dispute records. 16. Records and audit Affiliate must retain advertisements, landing pages, approvals, disclosures, traffic-source records, consent evidence where applicable, and material campaign changes for the retention period Clearenta later approves. On reasonable request, Affiliate must provide records sufficient to investigate traffic, complaints, or compliance. A binding retention duration requires business and legal approval. 17. Complaints, disputes, and corrections Affiliate must promptly report consumer complaints and cooperate with investigation. Commission disputes must identify the relevant non-sensitive transaction reference and basis. Clearenta will preserve decisions and corrections in its audit and ledger systems. Disputes do not authorize alteration of immutable records. 18. Changes and reacceptance Clearenta may revise program documents prospectively. Material revisions require Affiliate to accept the new version before continued dashboard access or promotion. Existing affiliates are not deemed to have accepted a version merely because it was published. Historical acceptances remain preserved. 19. No guarantee and provider independence Clearenta does not guarantee traffic acceptance, consumer qualification, provider enrollment, payable conversions, partner payment, commission availability, or payment timing. Providers independently operate their landing pages, screening, consent, qualification, and services. 20. Governing law; unresolved legal terms This proposed agreement is governed by the laws of the State of Georgia, without deciding in this draft any specific court venue or conflict-of-laws formulation. Program notices may be delivered through the affiliate account and verified contact information. Clearenta's public mailing address is PO Box 476, Woodstock, GA 30188. Venue, dispute-resolution procedure, arbitration, class-action treatment, attorney-fee shifting, limitation of liability, indemnification, formal notice mechanics, and the final retention period remain separate legal decisions requiring legal approval before this agreement becomes effective.
